Terms of Service

1. Acceptance of Terms

Welcome to Dealer Vision Pro. By accessing or using our AI-powered vehicle photo background replacement service, website, API, or mobile applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms constitute a legally binding agreement between you (either an individual or entity) and Dealer Vision Pro ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any modifications indicates your acceptance of the modified Terms.

2. Description of Service

Dealer Vision Pro provides an AI-powered image processing service that:

• Removes backgrounds from vehicle photographs
• Generates multiple professional background variations using AI technology
• Provides API access for programmatic integration
• Stores and manages your generated images

The Service utilizes third-party AI technology (including but not limited to Google Gemini) to process images. Results may vary based on input image quality and other factors.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Payment and Billing

4.1 Subscription Required

• A monthly subscription ($29.00/month) is required to use the Service.
• Subscriptions include 30 vehicle generation credits per month.
• Each vehicle generation produces 4 image variations with professional backgrounds.
• Prices are subject to change with notice.

4.2 Credits System

• Monthly subscription credits reset each billing cycle and do not roll over.
• Active subscribers may purchase additional credits at $1.00 per generation.
• Purchased credits never expire and are used after monthly credits are exhausted.
• Credits are non-refundable except as required by law.

4.3 Free Stage Generations

• Subscribers receive 5 free "Branded Stage" generations per month.
• Important: "Branded Stages" are showroom background templates with your dealership logo/branding added. This is a separate feature from vehicle photo generations.
• Free stage generations reset each billing cycle and do not accumulate.
• Additional stage generations beyond the free allowance will deduct from your credits.
• Free stage generations cannot be used for vehicle photo processing.

4.4 Billing

• Payment is processed through Stripe. By providing payment information, you agree to Stripe's terms of service.
• Subscription fees are billed in advance on a monthly basis.
• You authorize us to charge your payment method for all fees incurred.
• Failed payments may result in service suspension.

4.5 Refunds

Due to the nature of digital services and AI processing, we generally do not offer refunds. However, if you experience technical issues that prevent successful generation, please contact support within 7 days for review.

5. Acceptable Use

You agree NOT to use the Service to:

• Upload, process, or generate images that are illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Process images you do not have the right to use
• Infringe upon any third party's intellectual property rights
• Generate fraudulent or misleading content
• Process images containing personal information of others without consent
• Attempt to reverse engineer, decompile, or disassemble the Service
• Use automated means to access the Service beyond our provided API
• Circumvent any technical measures we use to provide the Service
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Violate any applicable laws or regulations
• Resell or redistribute the Service without authorization

6. Intellectual Property

6.1 Your Content

You retain all rights to images you upload. By uploading images, you grant us a limited, non-exclusive license to process, store, and display your images solely to provide the Service. You represent and warrant that you have all necessary rights to upload and process your images.

6.2 Generated Content

You own the generated images created through the Service, subject to any underlying rights in source materials. We make no claims to ownership of generated images.

6.3 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Dealer Vision Pro and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. API Terms

If you use our API:

• You must protect your API keys and not share them publicly
• You are responsible for all activity that occurs using your API keys
• We may impose rate limits and usage restrictions
• You may not use the API to build a competing service
• We reserve the right to revoke API access for violations
• API availability is provided on an "as-is" basis without guaranteed uptime

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We are not liable for any loss or damage resulting from service interruptions.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Service will be accurate or reliable; (d) the quality of any products, services, information, or other material obtained through the Service will meet your expectations.

AI-generated images may contain errors, artifacts, or unexpected results. You are responsible for reviewing and approving all generated content before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEALER VISION PRO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• AI-generated content that does not meet your expectations
• Service interruptions or downtime

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dealer Vision Pro and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party right, including any intellectual property or privacy right; (d) any claim that your content caused damage to a third party.

13. Account Sharing Prohibited

Your Dealer Vision Pro account is licensed for use by a single dealership or automotive business entity only. Specifically:

• No Multi-Business Sharing: You may not share your account, login credentials, or invite codes with other dealerships, automotive businesses, or unaffiliated parties.
• Internal Use Only: Invite codes and team member invitations are intended solely for employees or authorized agents of your single dealership/business entity.
• Consequences: Sharing your account with another business or unauthorized party constitutes a material breach of these Terms and may result in immediate account termination without refund of any subscription fees or purchased credits.
• Monitoring: We reserve the right to monitor account usage patterns to detect unauthorized sharing.

If you require service for multiple dealerships or business entities, you must create separate accounts for each.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Account sharing with other businesses (see Section 13)
• At our sole discretion

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dealer Vision Pro regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
